Sheet Music & Content License Agreement
This License Agreement ("Agreement") governs your purchase and use of sheet music, arrangements, compositions, and related digital products ("Licensed Materials") from Paul Lorenz Music. By purchasing, downloading, or using any Licensed Materials, you agree to be bound by this Agreement.

1. Definitions
In this Agreement:
- "Licensor" means Paul Lorenz Music, Claudiaplatz 10, 6233 Kramsach, Austria.
- "Licensee" means the individual, ensemble, orchestra, choir, or organization purchasing the license.
- "Licensed Materials" means sheet music, scores, parts, arrangements, compositions, and related digital files provided under this license.
- "Performance" means any live presentation of the Licensed Materials before an audience.
- "Recording" means any audio or video capture of the Licensed Materials.
- "Custom Arrangement" means modifications or adaptations created specifically for the Licensee's requirements.
2. License Grant
Subject to the terms of this Agreement and full payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable, perpetual license to use the Licensed Materials as specified below.
Standard License (Single Purchase):
- One (1) performing entity (soloist, ensemble, orchestra, or choir)
- Unlimited performances within the purchasing organization
- One (1) backup copy for archival purposes
Extended License (Multi-Use):
- Multiple performing entities within the same organization
- Educational distribution within the licensed institution
- Recording rights for non-commercial purposes

3. Permitted Uses
Under a Standard License, Licensee may:
- Print necessary copies for performers within your ensemble/organization.
- Perform the Licensed Materials at public or private concerts.
- Use the Licensed Materials in auditions and rehearsals.
- Display the Licensed Materials during educational workshops led by the Licensee.
- Store digital copies on devices owned by the Licensee.
- Create performance annotations on printed copies.
4. Restrictions
Licensee may NOT:
- Redistribute, resell, sublicense, or transfer the Licensed Materials to third parties.
- Share download links, files, or printed copies with non-licensed individuals or organizations.
- Upload the Licensed Materials to any website, file-sharing service, or online repository.
- Remove, alter, or obscure any copyright notices, watermarks, or proprietary markings.
- Create derivative works for sale or distribution without written permission.
- Use the Licensed Materials in any manner that infringes on the rights of original composers or publishers.
- Claim authorship or ownership of the Licensed Materials.
- Use automated systems to download or reproduce the Licensed Materials.
⚠️ Important: Violation of these restrictions constitutes copyright infringement and may result in license termination, legal action, and claims for damages under applicable copyright law, including the Austrian Copyright Act (Urheberrechtsgesetz).
5. Custom Arrangements
Paul Lorenz Music offers exclusive custom arrangement services:
- Instrumentation Changes: We can modify arrangements to accommodate your specific instrumentation (e.g., substituting saxophone for clarinet).
- Orchestration Adjustments: Arrangements can be scaled for different ensemble sizes.
- Transposition: Parts can be transposed to suit vocalists or instrumentalists.
- Original Transcriptions: We can transcribe your favorite songs for orchestral or choral settings.
Custom arrangements are subject to separate quotation and additional licensing terms. The Licensor retains copyright in all custom arrangements unless otherwise agreed in writing. Contact info@lorenz-music.com for custom arrangement requests.
6. Performance Rights
This license covers the right to perform the Licensed Materials. However:
- Public Performance Licenses: Venues may require separate public performance licenses from collecting societies (e.g., AKM in Austria, GEMA in Germany, PRS in the UK, ASCAP/BMI in the US). Licensee is responsible for obtaining these as required.
- Attribution: Licensee shall credit "Arrangement by Paul Lorenz / Paul Lorenz Music" in all concert programs and promotional materials.
- Third-Party Works: For arrangements of third-party compositions, Licensee is responsible for ensuring necessary permissions from the original rights holders for public performance.
7. Recording & Broadcast Rights
Recording and broadcast rights are NOT included in the Standard License. Additional permissions are required for:
- Audio recordings (CDs, digital albums, streaming releases)
- Video recordings (DVDs, YouTube, social media)
- Radio or television broadcasts
- Streaming or webcasting performances
- Film, television, or advertising synchronization

8. Copyright & Ownership
All Licensed Materials are protected by copyright under Austrian law (Urheberrechtsgesetz), EU Directives, and international copyright treaties. Paul Lorenz Music and/or original composers retain all intellectual property rights in the Licensed Materials.
The purchase of a license grants you usage rights only and does not transfer ownership of the copyright or intellectual property.
Paul Lorenz Music's arrangements have been performed by renowned orchestras including the London Symphony Orchestra and in world-famous venues such as the Vienna State Opera. This reputation is built on respect for intellectual property rights.
9. License Fees & Payment
License fees are as displayed on our website at the time of purchase. All prices are in Euros (€) and include applicable VAT for EU customers. Payment is processed through our secure payment partners (Payhip, Stripe, PayPal).
Invoices are provided for all purchases. For institutional purchases requiring purchase orders or custom invoicing, contact info@lorenz-music.com.
10. Delivery & Downloads
Licensed Materials are delivered digitally as PDF files immediately upon successful payment. Download links are sent to the email address provided at checkout. Links remain active for 30 days and allow up to 5 downloads.
If you experience any issues with your download, contact info@lorenz-music.com within 7 days of purchase.
11. Refund Policy
Digital Products: Due to the nature of digital products, no refunds are available once the Licensed Materials have been downloaded or the download link has been accessed.
Pre-Purchase Preview: Product images, sample pages, and audio/video demonstrations are provided to help you make informed purchasing decisions.
Exceptions: Refunds may be considered if the file is corrupt, incomplete, or significantly different from the product description. Report such issues within 7 days of purchase.
12. Warranty & Disclaimer
Licensor warrants that it has the right to grant the licenses described herein for original compositions and arrangements. For arrangements of third-party works, Licensor provides the arrangement only; Licensee is responsible for obtaining necessary permissions for the underlying composition.
THE LICENSED MATERIALS ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE LICENSE FEES PAID BY LICENSEE FOR THE SPECIFIC LICENSED MATERIALS AT ISSUE.
LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA.
14. Termination
This license is effective upon payment and continues in perpetuity unless terminated. Licensor may terminate this license immediately if Licensee breaches any term of this Agreement. Upon termination:
- Licensee must cease all use of the Licensed Materials.
- Licensee must destroy all copies (digital and printed) of the Licensed Materials.
- No refund will be provided for licenses terminated due to breach.
15. General Provisions
Governing Law: This Agreement is governed by the laws of Austria, without regard to conflict of law principles.
Jurisdiction: Any disputes shall be resolved exclusively in the courts of Innsbruck, Austria, unless otherwise required by mandatory consumer protection laws.
Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof.
Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
Assignment: Licensee may not assign this Agreement without Licensor's written consent.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Language: This Agreement is provided in English. In case of translation, the English version shall prevail.

2. Acceptance of Terms

- Licensing: Rights clearance and licensing for performances, recordings, and broadcasts.
Product descriptions, images, and audio/video samples are provided for informational purposes. While we strive for accuracy, minor variations may occur.
5. Ordering & Payment
5.1 Placing Orders
To place an order, add items to your cart and complete the checkout process. An order confirmation email will be sent upon successful payment.
5.2 Payment Methods
We accept payment via:

- Bank Transfer (for institutional orders)

5.3 Order Acceptance

6. Pricing & Taxes
All prices are displayed in Euros (€) and are subject to change without notice. Prices at the time of order placement apply.
VAT (Value Added Tax):
- EU Customers: Prices include VAT at the applicable rate.
- Non-EU Customers: Prices may be displayed exclusive of VAT. You may be responsible for import duties, taxes, or customs fees in your country.
- VAT-registered businesses in the EU (outside Austria) may apply the reverse charge mechanism by providing a valid VAT identification number.
7. Delivery
Digital Products: Sheet music and digital files are delivered electronically via download link immediately after payment confirmation. Download links are sent to your registered email address and remain active for 30 days.
Custom Services: Delivery timelines for custom arrangements and transcriptions are agreed upon individually and specified in the project confirmation.
If you do not receive your download link within 24 hours, check your spam folder and contact info@lorenz-music.com.
8. Right of Withdrawal
Under EU consumer protection law, you have the right to withdraw from a contract within 14 days without giving any reason. However:
Exception for Digital Content:
By purchasing and downloading digital products, you expressly consent to immediate delivery and acknowledge that you lose your right of withdrawal once the download begins or the download link is accessed. This is in accordance with Article 16(m) of Directive 2011/83/EU.
For custom services not yet commenced, you may exercise your right of withdrawal by contacting us within 14 days of the contract date.
9. Intellectual Property
All content on our website and within our products, including but not limited to text, graphics, logos, musical compositions, arrangements, audio, video, software, and code, is the property of Paul Lorenz Music or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Use of our Licensed Materials is governed by the separate License Agreement. Unauthorized reproduction, distribution, or modification is strictly prohibited and may result in legal action.
The Paul Lorenz Music name, logo, and related marks are trademarks of Paul Lorenz Music. You may not use these marks without our prior written consent.
10. User Conduct
When using our Services, you agree not to:
- Violate any applicable laws or regulations.
- Infringe on the intellectual property rights of Paul Lorenz Music or third parties.
- Distribute, share, or resell purchased content without authorization.
- Attempt to gain unauthorized access to our systems or other users' accounts.
- Use automated tools to scrape, download, or reproduce content.
- Transmit viruses, malware, or other harmful code.
- Engage in fraudulent activity or provide false information.
- Harass, abuse, or harm our staff or other users.
11. Custom Services
For custom arrangement, transcription, or consultation services:
- Quotation: We will provide a detailed quote based on your requirements. Quotes are valid for 30 days.
- Deposit: A deposit of 50% is required to begin work, with the balance due upon completion.
- Revisions: One round of minor revisions is included. Additional revisions may incur extra charges.
- Timeline: Delivery estimates are provided in good faith but are not guaranteed. Complex projects may require extended timelines.
- Copyright: Paul Lorenz Music retains copyright in all custom works unless otherwise agreed in writing.
- Third-Party Compositions: For arrangements of works by other composers, you are responsible for obtaining necessary permissions and paying applicable royalties.
12. Third-Party Services
Our Services may include links to third-party websites, payment processors, and platforms (including social media, streaming services, and NFT marketplaces). These third parties have their own terms and privacy policies. We are not responsible for their content, practices, or availability.
Third-party services we use include but are not limited to: Payhip, Stripe, PayPal, Google Analytics, YouTube, Facebook, Instagram, TikTok, Spotify, Apple Music, and OpenSea.
13. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- Our Services will be uninterrupted, error-free, or secure.
- Defects will be corrected.
- Our website or servers are free of viruses or harmful components.
Your use of our Services is at your own risk.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Paul Lorenz Music, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property rights.
- Your use of the Licensed Materials in violation of the License Agreement.
- Any content you submit or transmit through our Services.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Effective Date." Your continued use of our Services after changes constitutes acceptance of the modified Terms.
For material changes that significantly affect your rights, we will provide notice via email to registered users at least 30 days before the changes take effect.

Jurisdiction: Subject to mandatory consumer protection laws, any disputes shall be resolved exclusively in the courts of Innsbruck, Austria.
Online Dispute Resolution: The European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in such proceedings but may do so voluntarily.
